Maintenance Visits Terms & Conditions
By signing below, you indicate your acceptance of the above estimate and the following terms and conditions (collectively, the “Agreement”). This Agreement constitutes a legally binding contract between you and Jamison Lawn Care LLC (“JLC,” “we,” or “us”).
Payment Terms
- Payment is due upon completion of each maintenance visit for the specified services performed.
- Accepted forms of payment include credit card or check payable to Jamison Lawn Care LLC.
- A valid credit card on file is required for all maintenance clients.
- Services automatically renew annually unless canceled in accordance with this Agreement.
Nonpayment, Fees & Collections
- JLC reserves the right to refuse to begin or to suspend services if payment is not received in accordance with this Agreement.
- Any returned, declined, or unprocessable payments will incur a $75 fee per occurrence.
- Invoices unpaid after thirty (30) days are subject to a late fee of $75 or 1.5% of the total Agreement value, whichever is greater.
- Additional late fees will accrue every thirty (30) calendar days until paid in full.
- If payment is not received by the due date, JLC reserves the right to charge the credit or debit card on file.
- You agree to reimburse JLC for all costs of collection, including court costs, reasonable attorney’s fees, and professional collection service fees, if incurred.
Change Orders
- Any work requested that differs from or is in addition to the services outlined in this Agreement requires a written Change Order executed by both parties.
- Change Orders will define the scope, timing, and cost of the additional or modified work.
- All Change Order work will be billed as additional services, separate from the original Agreement.
Sod & Seed Installation (If Applicable)
- You are responsible for maintaining adequate moisture during the germination period to ensure proper growth.
- There are no warranties on seed or sod installations.
- Recommended watering practices include:
- Two applications per day — once in the early morning and once in the late afternoon
- Avoid watering during evening hours due to increased risk of fungus
- If no irrigation system is present, it is recommended that sprinkler heads connected to garden hoses and commercially available timers be used to regulate watering duration and frequency.
Service Concerns, Disputes & Right to Cure
- If you are dissatisfied with or object to JLC’s performance of any services, you must notify JLC in writing, with reasonable detail, within ten (10) business days following performance of the service at issue.
- Failure to provide timely written notice constitutes a full and permanent waiver of any objection, claim, or dispute related to that service.
- Upon timely notice, JLC will use reasonable efforts to cure any unsatisfactory elements or alleged defects within twenty (20) business days of receipt.
- Any attempt to withhold payment without allowing JLC the full cure period constitutes a material breach of this Agreement.
Photography & Marketing Authorization
- You acknowledge and agree that JLC may take photographs and/or videos of your property for marketing, promotional, or advertising purposes.
- Such materials may be used on JLC’s website, social media platforms, and other marketing channels.
Confidentiality & Proprietary Information
- Any estimates, designs, pricing, and the terms of this Agreement constitute proprietary and confidential information of JLC.
- You agree not to disclose, share, or use such information for any purpose outside this Agreement.
- This obligation applies whether or not this Agreement is executed and survives termination or completion of services.
Indemnification
- You agree to indemnify and hold harmless JLC and its officers, members, managers, employees, agents, successors, and assigns from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from:
- Your acts or omissions, including bodily injury, death, or property damage; or
- Any breach of this Agreement by you.
Limited Warranty & Disclaimer
- JLC warrants that services will be performed in a timely, professional, and workmanlike manner consistent with industry standards.
- No other warranties, express or implied, are provided, including implied warranties of merchantability or fitness for a particular purpose.
- JLC’s sole obligation and your exclusive remedy for breach of this warranty is reperformance of the affected services.
Limitation of Liability
- In no event shall JLC be liable for consequential, incidental, indirect, special, exemplary, or punitive damages, regardless of theory of liability.
- JLC’s total aggregate liability under this Agreement shall not exceed the total amounts paid to JLC pursuant to this Agreement.
Governing Law & Venue
- This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
- Any legal action arising out of this Agreement shall be brought exclusively in the state or federal courts located in Bucks County, Pennsylvania.
Entire Agreement & Severability
- This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or representations.
- If any provision is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.
- This Agreement may be amended only by a written instrument signed by both parties.
Force Majeure
- JLC shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to inclement weather, natural disasters, labor disputes, utility failures, governmental actions, public health crises, or other similar events (“Force Majeure Events”).
- JLC will use reasonable efforts to notify you of such events within five (5) business days.
- If a Force Majeure Event continues for more than twelve (12) months, JLC’s liability shall be limited to the return of payments received under this Agreement.
